These Terms and Conditions govern the use of software development, consulting, and technology solutions services provided by Zygnus. By engaging our services, you accept these terms in full.

Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you disagree with any part of these terms, you should not use our services.

Description of Services

Zygnus provides the following professional services:

  • Custom software development
  • Systems consulting and architecture
  • Artificial intelligence solutions
  • Enterprise integrations (SAP, NetSuite, APIs)
  • Maintenance and technical support

Client Obligations

As a client, you agree to:

  • Provide accurate and complete information about project requirements.
  • Respond promptly to information requests or approvals.
  • Provide necessary access to systems, data, and resources.
  • Make agreed payments within established deadlines.
  • Not use our services for illegal or unauthorized purposes.
  • Maintain confidentiality of provided credentials and access.

Intellectual Property

Upon full payment completion, the client acquires ownership rights to the source code developed specifically for the project. Zygnus retains rights to proprietary frameworks, libraries, and components used. Any third-party code is subject to its respective licenses.

Confidentiality

Both parties agree to maintain confidentiality of all proprietary information shared during the business relationship. This obligation remains in effect during and after project completion for a period of 5 years.

Payment Terms

Specific payment terms are established in each individual proposal or contract. Generally, we require a 50% advance payment to start the project and the remaining 50% upon completion. Late payments may incur interest and work suspension.

Warranties

We warrant that our work will meet agreed specifications. We offer a 90-day warranty period after delivery for bug fixes related to original requirements. This warranty does not cover scope changes, errors caused by client modifications, or issues with third-party systems.

Limitation of Liability

Our maximum liability is limited to the total amount paid by the client for the specific services. We are not liable for indirect, consequential damages, loss of profits, data loss, or business interruptions, except in cases of gross negligence or willful misconduct.

Termination

Either party may terminate the agreement with 30 days written notice. In case of termination, the client will pay for all work completed to date. Zygnus will deliver all completed work and corresponding documentation.

Governing Law

These terms are governed by the laws of the United Mexican States. Any dispute shall be submitted to the competent courts of Mexico City, with the parties waiving any other jurisdiction that may apply.
